Magellan provides treasury management and cross-border payment services, including but not limited to:

• Global payouts and fund transfers
• Foreign exchange (FX) conversion services
• Treasury management tools and dashboards
• API access for programmatic payment operations
• AI-powered treasury insights and analytics

4. Account Registration

To access our Services, you must create an account and provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Keeping your account information up to date

5. Payment Terms

5.1 Fees

You agree to pay all applicable fees for the Services as described in your service agreement or our published fee schedule. Fees may include transaction fees, FX spreads, and service charges.

5.2 Payment Processing

When you initiate a payment through our Services, you authorize us to process the transaction according to your instructions. You are responsible for ensuring sufficient funds and accurate recipient information.

5.3 Reversals and Refunds

Completed transactions generally cannot be reversed. Refunds or cancellations may be available in limited circumstances and are subject to our policies and applicable banking regulations.

6. Compliance and Regulatory

You agree to:

• Comply with all applicable laws and regulations, including anti-money laundering (AML) and know-your-customer (KYC) requirements
• Provide accurate information for compliance verification
• Not use our Services for any illegal or prohibited purposes
• Cooperate with any regulatory inquiries or investigations

7. Prohibited Activities

You may not use our Services to:

• Violate any laws or regulations
• Engage in fraudulent or deceptive practices
• Launder money or finance terrorism

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGELLAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU TO MAGELLAN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Magellan and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to our Services at any time for any reason, including violation of these Terms. Upon termination, your right to use our Services will immediately cease, and you must pay any outstanding fees.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14. Dispute Resolution

Any disputes arising from these Terms or your use of our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Wilmington, Delaware.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services after such changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
